RECI TALS The Council of the City of San Diego (Council) adopts this Resolution based on the following: A. California River Watch (River Watch) mailed the Notice of Violation and I ntent to File Suit letter (NOV) to the City on March 31, 2026.

The NOV includes several claims of Clean Water Act violations by the City related to the wastewater system. B. Stoel Rives, LLP (Law Firm) is currently under contract to assist the City with complying with a Consent Decree between the City and San Diego Coastkeeper and Coastal Environmental Rights Foundation, which deals in part with the City's wastewater system.

Based on this experience, Law Firm has extensive knowledge of the City's wastewater system, the wastewater facilities included in the NOV, technical background, and has experience with the roup River Watch, which is essential to assisting the City in responding to the NOV and potentially avoiding litigation. C. The Office of the City Attorney recommends that the City retain Law Firm to provide the specialized legal expertise needed to assist the City in resolving the legal issues involved in the NOV. The NOV requires the City to meet and confer in good faith with River Watch in a timely manner.

On May 27,2026, the Purchasing Agent approved the Request and Certification for Sole Source Procurement. - - (R-2026-501) D. The Office of the City Attorney prepared this Resolution based on the information provided by City staff, including information provided by affected third parties and verified by City staff, with the understanding that this information is complete and accurate. ACTI ON I TEMS Be it resolved by the Council ofthe City of San Diego: The Council authorizes the City's retention ofthe Law Firm to provide legal services to the City related to the NOV.
