An Act to Incorporat~ thb Athabasca Club. (As11en~ed to 1913.) W HEREAS the persons hereinaler named and others in the Town of Athabasca and vicini y have ~ociated themselvc::; together for the establishment of a lub for social purposes; And whereas the said persons he einafLer named have prayed to be incorporated by the name of th "Athabasca Club," and it is expedient to grant their prayer; Therefore His Majesty, by and whh the advice and consent of the Legislative Assembly of the Prjwince of Alberta, enacts as follows: 1. Lessard, Isaac Gagnon, Frank Kaiser, Dr. ,Joseph livier, Wm. Kehoe, Lancelot Smith, A. E. Walsh and .J.

Hawley nd all such other persons as now are or hereafter shall become m mbers of the said ~ociation, :-;hall be and arc hcroby declared to b a corporato and politic body, in deed and in name by the name f "AthaJbasca Club" and by that name shall have power from t me· to time and at all times hereafter to he ahle aud capable to p rchase, acquire, hold, possess a.ml eujuy, and to have, take and rec ive to them and their succe::s so.rs to and for the actual use of t:h said corporation, any lauds, tenements, hereditaments and real nd immovable property and estate, and also movable and person l property situate, lying and being within the said Town of Ath basca, and the same to sell, alienate, exchange, and otherwise d spose of or encumber when ever the said corporation may deem t proper so to do, and by the ~arne name shall and may be ahle ar d capable to sue and be sued, implead and be impleaded, answe and be answered unto any matter whatsoever. 2.

The constitution, rules and re ulations touching the admin· istration of the said corporation sh l be formulated at a general meeting thereof, called for that pur ose, and of which at least ten days' notice shall be given by publ' advertisement or otherwise, to all members thereof; and the con' itution, rules and regulations then adopted Rha.ll, subject to the· a proval of the Attorney-Gen eral, have full force and effect in s far as the same shall nQt be inconsistent with the laws in force in the Province uf Alberta, and the provisions of this Act: Provided always that the said colporation may, from time to time, alter, repeal and change such oustitution, rules and regula tions in the manner herein provid d, the amendment~ so made to be subject to the approval of\ the ttorney General as aforesaid. 3.

The said corporation may, fro time to time, borrow money, not to exceed in' the whole the s m of twenty-five thousand ($25,000. 00) dollars at such rate of interest and upon such terms as they may deem proper, and may f r such purpose make, execute or issue any mortgages, bonds or de entures, stock or other instru ments, under the seal of the said orporation, which bonds, or debentures, or stock shall operate su ject to any mortgage given in part payment of the purchase mone) of real property acquired for a site for the club buildings or of e erection of such buildings and appurtenances thereto, as mort ages and charges against the lands and effects of the said corpor tion without registration and each holder of any of the said deb ntures or bonds .issued under the provisions o.f this

section shall e deemed to be a mortgagee and encumbrancer pro rata with th~ other holders thereof upon any int-eroot in any real estate held y the said corporation, and also upon any such intere~t iu any olicy or policies of insurance against lollS or damage by fire effect d upon the buildings owned by the corporation. 4. Any such mortgage, bond, debbnture, stock or other instru ment shalll be signed by the preside~:it of the said corporation and countersigned by the secretary. 5. The moneys authorized to be ised under the provisions of

section of this Act shall be applie exclusively in the purchase of a site for the club buildings and i the purchase, improvement or erection of a club house and d endencies thereon, together with necessary furniture, or for t e purchase of any freehold interest therein, and in the payme . of any mortgage or charge thereon and for the redemption of he said: debentures and any re-issues as they become due respect vely from time to time and at all time,s. 6.

No member of the corporation hall be in any way liable or chargerublE: with the payment of an debt or demand due by the Baid corporation beyond the extent<> the entrance fee and annual :-~ubscripti(;ms remuming unpaid by e said member and for any un:paid accounts he may have inc rred to the corporation for articles ordered by him· in the said lub; and any member of the said club not so indebted to the aid corporation, may retire therefrom and will cease to be a me her on giving notioe to that effect in such form as may be requi ed ·by the constitution, rules and regulations of the said club a d thenceforth shall be free from liability for uuy deut or engag ment of the corporation. 7.

The said corporatio11 shall hav power to draw, make, accept and en dome bills of exchange or pro issory notes necessary for the purpose of' the said corporation und r the hands of the president and secretary thereof, after author ty of the committee of the said corporation so to do; and in o case shall it be necessary that the seal of the corporation be a ixed to any such bill or note, nor shall the president or secreta be individually liable or responsible therefor: Provided that nothing herein co11tained shall be construed to authorize the corporation t{) issue not s or bills of exchange payable to bearer, or intended to be circula ed as money, or as notes or .bills of a bank. 8.

Notwithstanding anything her~inbefore contained, the said corporation shall have power to rent any portion of the real estate held by the said corporation upon su h terms and for such periods as may be agreed upon. 9. The dub hereby constituted s~ll be subject to all provisions for the· inspection, control and rcgul tion of dubs in the province, which may hereafter be passed by t e Legislature. 10.
