an Act constituting them a dy politic and corporate with the powers and for ·the purposes h reinaft~r set forth; And

whereas it is expedient t grant the prayer of the said petitioners; Therefore His Majesty, by and lwith the advice and consent of the Legislative As.::embly of the ~Jrovince of Alberta, enacts as follows: / 1. Tallman, !IJld the followiug persons who shall during their te m of office be ex officio mem bers, namely: Tho Moderator of the Synod of Alberta of the Presbyterian Clmreh in Cannda; l1e superintendent of mission~ of the synod of the diP<trid in w ich the college is located und tho preRident ·of the college, all of the time being residents of the Province of Alberta, aud t.heir Sl ceessors to be appointed from time 110 time as hereinafter men ioned, shall be and they arc hereby eowol1:itutec1 u hod'y polit·ic a ·d corporate and the first hoarrl of governors by and under the na e of "Alberta College". 2.

The corporation shall have a perpetual succession and a common E1eal with power to chan_ e, alter, break and renew lhe ~ame when and so oft.en as they s all think proper; and the snirl corporation may contract and be c ntracbed with, sue and be suc<l, implead and be impleaded, pros ute and be prosecuted in all court-s and places whatsoever, and may from time to time and at all time~ hereafter purchase, ac ire, hold, possess and enjoy, ami ma.y have, take and receive a d for them and their success ors, lands, tenem€nts and here<lita 1cnts and rool and immovable property ann estate as eollege b ildings and offices, residences of prof!~sors, tutors, ~tud,ents and ti-ieers with ganlen or pleasure grounds pertaining thereto, und t. 1e same muy sell, alienate and di.-po•e of, anfl other~ in their ~~~. d, purcha•e, acquire aml hnlrl for the n:o,es and purposes aforesai . 3.

It shall be lawful for the sid oorporUJtion and it is hen;by empowered to sell, exchange, mor gage, hypothecate or othenYi~e niRpoee of or pledge any lands, enements or heredirt:aments or e~ther real or per~onal property, socks, shares, lands, debentnres or securities on which it may at he time of the paK<>ing of thi~ Act, or at any future time becom seized, possessed or otherwi~e

2 interested in by virtue of this AJ~' or otherwise howsoever, and make and execute under its com on seal or otherwise accordmg to law all proper deeds and inst uments and do all other ac-t~, matters and thmgs requisite or ne ~sary to effectuate and accom plish all and singular the premise . 5. 'l'he said corpomt.ion shall ave full power and authority to iuvest, or lend all or any sun ;3 of moooy of or belonging to the said college, or given or bequ 1thed to it in any lands, stocks, shares, debentures or securities of the Dominion of Canada, or of any province thereof, or of Great Britain or Ireland or of any foreign state, or in any deb llltulleS of any municipality or schQol district, or upon the secur ·ty of any real property, or in the purchase of rental bearing r 1 .estate, or to take, hold and di,;po;:e of any real property or a y interests ·therein for the pur poses aforooaid. 6.

The said corporation shall be capable of taking, holding and acquiring all such lands an tenements, real and personal estate as ma.y or shall have be mortgaged, hypothecruted or p1edged •to the said corporation b way of security or convered to i.t in satisfaction of debts contract , or purchased at judicia saleB upon levy for such indebtedness r otherwise purchased for the purposes of avoiding a loss to the college in respect thereof, or of tho owner thereof. 7.

All property, real or perso l, or of any kind whatsoeve-r, now or heretofore v'est.ed in the ames of the petitioners or any o11e of them for or on behalf of A berta Ladies' College subject to any tru~St effecting the same, vest'O in the said college, and ·all pro perty which has been or hereafters all be granted, conveyed, devis- ed or bequeathed to any person in st for, or for the benefit of the college, or ot.herwise in conneobi therewi.th, subject always to the trust emecting the same, is he by vested in the said corpora tion.

And upon presentation to t e proper re.e;istrar of land titles of anv infltrument settring forth t e fact of the trust and of the purpi<l~e of vesting the lands effect d in the corporation as hereby ereated, !O'ul'h registrar shall forthw th cancel the existing certificate of title and 1ooue a new cerbifica•te of titl-e to the corporation. 8. All subscriptions or promi~ of money or chattels now or heren.fter made, or that may he frt:er be made, ot: given to the petitioners or any one or more of t em for or on behalf of AILertn.

Ladies' College, or otherwise in connection therewitth, subjeet always to the trusts effecting the s me, shall be vested in the said corporation. 9. The said Alberta Ladies' Col egc shall be under the manage ment and administmt:iou of a ard of ~overnors toO be called '"I'hfl Board •of Governor~ of Albe ta Ladies' College" which shall c.on.9iP•t of not more than thirty me bers and not less than nine. 1.0.

Tt shall be the duty of the ynod of Alberta of the Presh~· terian Church in Canada, at each a nnal session thereof to appoint nut more than eight persons to th board of governors who shnll hnlcl office for three years, and u til their suee·essors shall h:we lwen appointed: Provided the board may pass b -laws redncing the numbnr of the honrd to not less than nine a d fixing the number neees.'lnrv to consthut10 a quorum, and ·the said by-law:-; repeol. alter nncl nmend from time to .time.

The board shall have fu1 power from time to time to appoint and as they shall see oc ion remoVJe t.he president nnrl other he~ds, the profes~rs, tutors, teachers and all officerfl, agent~ and servan~s of the said colle~, and the board shall hilve full

power from time to time to m e and alter or vary any by-laws and regulations touching and c ncilrning the time and pluee of holding ordinary meetings; not.i es thereof and for the goo•l order and government of the s~id col ege, and the board of governor,;: the performance of divine servi therein; the number, residence duties, salary, provision and emolument of the president, professors, tutors, teachers, o · cers, -agents and servants of the said college respectively, nd all other ma1Jters which to tbem ma.y seem good, fit and us ful for the well ordering, govern ing mtd advancemen•t of the sad colleg•e; .'lnd all by-laws when reduced in writing and after th common ;:eal of lh~ college hath been affixed thereto shall be birding upon all persons, members thereof; provided tll!l!t no such y-law shall be repugnant ·to the laws of the province or of the D minion of Canada; provided also thmt no religious test or quali cation shall be required of any person on admission as a studer or scholar into the said college. 1~.

It shall be the duty of~he board to keep proper rooord:l und minutes of all their proeee ings and to keep proper books of account of th~ financial affairs o the college, and present annually a report of the said college, acco panied by a duly audited finan cial statemen't, toO the Synod of .t lberta of the Presbyterian Church in Canada. 13. One-tbird . of the board of governors except such a.~ are ex officio member~ shall retire from office annually. Retiring members shall be eligible foro e. The said William Ross, D. In the ab!'ence of t.he chairman at any mooting the memhers ::ty elect from among themselve~ a chairi_Dan for •that meeting ho shall have all the powers of the cha.1rmn:n to tranRad. exec ·te and seal a.l1 docnment.~ of the eorporation arifling out of the b s:iness transa.cted at that meeting. 18. All question~~ shall be d ided by rthe majority of mcmberfl present at board meetings. 19.

The board shall have pf.¥er from time to time too appoint an execut.ive commitltee, or an other oommittee, of which the president of the college shall e o_fjicio ,be a member to which i.t may :assign such business as it eems necossary and expedient.

The members of the board fith the pra'lident and prof.e.' sors or tutors of the variou~ deparh ents of the said college shall have power and authority to prescri the studie<l, lecture<l, examin ations and exercises of the student. and shall have the manage ment and supervision of such affair of the collegfl as shall from to time be assigned them by ·the hoar . 21.

While the chief and primi:y object of the corporation shall be to carry on educational ork among girls and young women both in junior and high branches, nevertheless the board shall have power and authori y to. undertake a similar work for youth of the male sex, whenso er 1t shall be deemed proper and expdient so to do.
