EXPLANATORY NOTE NOTE EXPLICATIVE Business Corporations Act:

Loi sur les sociétés par actions : The Bi ll amends the Business Corporations Act to require a corporation to c hange its auditor at le ast once every five years. (See the new

section 149.1 of the Act.) It also prohibits a per- son from serving as a director, officer or employee of a corpora- tion if, during the preceding two years, he or she served as audi- tor of th e corporation or participated in any audit related to the corporation th at was conducted b y th e aud itor. (See the new

section 149.2 of the Act.) Le projet de loi modifie la

It restructures The Pub lic Accountants C ouncil for the Province of Ontario as th e Ontario Public Acco untancy Over- sight Board, consisting of six members appointed by the Minis- ter of Finance and one member appointed by each of the follow- ing professional bodies: Le projet de loi apporte des changements importants à la

The Board’s licensing powers are expand ed to permit the sus- pension or revo cation of a licence if an inquiry determines that the licensee is n ot competent to practise as a pub lic accountant. The Bo ard’s existing powers to revoke a p erson’s licence ar e expanded to also permit the suspension of the licence. (See the amendments to

section 18 of the Act.) 2 INVESTOR PROTECTION ACT (BUSINESS CORPORATIONS AND PUBLIC ACCOUNTANCY), 2002 (2) Subsection 158 (1) of the Act is repealed and the following substituted:

section 1 of the Public Accountancy Act is repealed and the followin g substituted: 2.
